Terms of Service

1. Parties and Acceptance

These Terms of Service ("Terms") govern the relationship between Emirhan Yıldırım("Deskivy", "we"), the operator of the Deskivy service ("Service") available at deskivy.com, and the individual or legal entity that registers for the Service ("User", "you"). By registering for, accessing, or using the Service, you confirm that you have read, understood, and agree to these Terms. If you do not agree, do not use the Service.

2. Description of Service

Deskivy is a multi-tenant customer support platform that lets businesses embed an AI-powered chat widget on their website, build a knowledge base (text, PDF, DOCX), and manage channels such as Telegram, WhatsApp, Instagram, Facebook, Slack, Discord, SMS, email, and Google Calendar from a single dashboard. The Service uses third-party AI models, including Google Gemini and OpenAI.

3. Account Registration and Security

You must provide accurate, current, and complete information when creating an account. You are responsible for keeping your account credentials (email, password) confidential and for all activity that occurs under your account. If you suspect unauthorized use of your account, notify us immediately at info@deskivy.com.

4. Free Trial

Registered users may start a 7-day free trial, without providing credit card information, on plans for which a trial is offered. No automatic charge occurs at the end of the trial; to continue using the Service, you must manually select a paid plan. If no plan is selected, account features will be restricted once the trial ends.

5. Pricing, Billing, and Payment

Plan prices are displayed on the website in Turkish Lira (TRY), inclusive of VAT. Payments are processed through the PayTR payment infrastructure; we do not store your card details on our servers. Subscriptions renew automatically according to your chosen billing cycle (monthly/yearly); unless you cancel, payment is automatically collected for the next period.

6. Cancellation and Refunds

You may cancel your subscription at any time from your dashboard. Cancellation takes effect at the end of the current billing period; you may continue using the Service until the end of the period already paid for, and no charge will be made for the next period. Amounts already paid are non-refundable, whether in full or in part; no pro-rated refunds are given for unused days.

7. Failed Payments and Suspension

If a payment fails during automatic renewal (e.g., card declined), you will be notified by email and the charge will be automatically retried daily for 3 (three) days. If payment still has not succeeded at the end of this period, the Service is suspended: your widget and integrations are disabled. Your account and its data are not deleted as a result of suspension. The Service is reactivated automatically as soon as a payment succeeds, whether during the 3-day retry period or at any time afterward.

8. Usage Limits

Each plan includes usage limits such as monthly message volume, number of knowledge base entries, and number of companies. Once a limit is reached, the affected feature is paused or restricted for the remainder of that billing period; no overage fee is charged. Limits reset at the start of the next billing period. You may upgrade to a higher plan for additional capacity.

9. Channel Integrations and Third-Party Services

When you connect the Service to a third-party platform such as Instagram, WhatsApp, Telegram, Slack, Discord, Google Calendar, Shopier, or Shopify, you represent that:
  • You have the right and authority to connect and act on behalf of that account/integration;
  • You agree to comply with that platform's own terms (e.g., Meta Platform Terms, Instagram Terms of Use);
  • You are ultimately responsible for the content of automated/AI-generated replies sent from your connected account.

Outages or policy changes on third-party platforms are outside Deskivy's control.

10. User Content and Intellectual Property

Text, PDF, and DOCX files you upload to your knowledge base, along with your company data ("User Content"), remain your property. You grant us a non-exclusive license to process this content solely to provide the Service. The Service itself (software, source code, design, branding, interface) is Deskivy's intellectual property and is protected accordingly.

11. Acceptable Use

You may not use the Service to:
  • Send spam, unsolicited bulk messages, or harassing content;
  • Upload or distribute content that infringes applicable laws or third-party rights (copyright, trademark, etc.);
  • Upload content that misleadingly presents medical, legal, or financial information as "definitive professional advice";
  • Place other individuals' sensitive data (national ID numbers, card details, etc.) into the knowledge base or chat flow for collection/discovery purposes;
  • Attempt to reverse engineer, overload, or disrupt the Service;
  • Store or transmit malicious code.

Violation of this section may result in suspension or termination of your account without prior notice.

12. Disclaimer Regarding AI Output

Responses generated by the Service are produced automatically by AI models (Google Gemini, OpenAI) based on the knowledge base you provide. We do not guarantee the accuracy, completeness, or fitness for any particular purpose of these responses. Deskivy is not liable for the content of AI-generated responses or their effect on your end users; responsibility rests with the User who supplies the underlying knowledge base and operates the Service.

13. Disclaimer of Warranties

The Service is provided "as is" and "as available." Deskivy makes no express or implied warranty that the Service will be uninterrupted, error-free, or available at any particular uptime level. We act on a commercially reasonable efforts basis, but do not commit to a numeric service level agreement (SLA).

14. Limitation of Liability

To the maximum extent permitted by applicable law, Deskivy shall not be liable for indirect, incidental, special, or consequential damages, including loss of profit, loss of data, or business interruption. Deskivy's total liability under these Terms is, in any event, limited to the total amount paid by the User in the 3 (three) months preceding the event giving rise to the claim.

15. Termination

We may suspend or terminate your account, with or without prior notice, if you violate these Terms. You may request deletion of your account at any time from your dashboard; this starts a 30-day countdown during which your account remains active and you may cancel the request at any time. If the request is not cancelled, your personal data is anonymized and your account is permanently deactivated at the end of this period, as described in our Privacy Policy.

Please review our Privacy Policy for details on how your personal data is collected, used, and protected. The Privacy Policy is incorporated into these Terms by reference.

17. Changes to These Terms

We may update these Terms from time to time. For material changes, we will notify you via your registered email address or an in-dashboard notice that the Terms have been updated; the current text is always available on this page. Continuing to use the Service after such changes constitutes acceptance of the updated Terms.

18. Governing Law and Jurisdiction

These Terms are governed by the laws of the Republic of Türkiye. Any dispute arising from these Terms is subject to the exclusive jurisdiction of the courts and enforcement offices of the Republic of Türkiye.

19. Miscellaneous

If any provision of these Terms is held invalid or unenforceable, the remaining provisions remain in full force and effect. Deskivy's failure to enforce any provision does not constitute a waiver of that provision. These Terms, together with the Privacy Policy, constitute the entire agreement between the parties. These Terms are provided in both Turkish and English; in case of any conflict or inconsistency between the two versions, the Turkish version shall prevail.
